***** MODELS Copyright 2025 This agreement is made on ___________________ Between: ***** Models S.A.S., Bogota, Colombia, the model _____________________________ with identification Number ______________, and mother agency___________________ The parties hereby agree to the following terms: Article 1 Modeling Work The model hereby appoints ***** Models S.A.S. agency and hereby ***** Models S.A.S. accepts the appointment as a sole exclusive agent from ____________________. ***** will representing the model in Colombia for five years, unless ***** Models sends a written confirmation stating the termination of the alliance. Any job or direct booking in the territory should be through ***** Models. The model will be in Colombia regarding (`´Modeling Work `´), which includes the following: (a) Fashion Shows (b) Advertising and catalogues (c) TV appearances (d) Appearance (e) TV commercials (f) Editorials (g) Social media bookings (h) Any other Modeling Jobs from time to time designed by ***** Models Agency (i) MMS, Logo, mobile videos and all kind of mobile technology ***** MODELS Copyright 2025 The model is expected to fulfill each job at the best of her abilities. Failure to arrive at a reasonable time and to follow the rules will be subject to a financial penalty which the agency deems fit. Such penalty cannot exceed the amount of the job in question. In case of sickness or other medical issues that may occur, the model must notify the agency at least twentyfour (24) hours prior to the job in question. Models will also need to provide ***** Models with a doctor!s certificate proving they are not competent to perform their modeling duties. Model hereby grants permission to add her profile, polaroids and videos (and other relevant material) to the official ***** Models website and Instagram account. Models are not allowed to do direct bookings in the country for the next 5 years. Any direct booking after the term of this contract needs to be through ***** Models. Any breach to this rule will have a penalty of 10,000 USD paid by the model. Also, models cannot work with or sign a contract with any other agency in the territory of Colombia for 5 years. If a model male or female, signs with another agency or returns to our country to work on their own, they will have to pay US$10,000 to ***** Models regarding the breach of contract. If the model doesn’t have the means, her family or agency will pay. Article 2. What to do before you arrive Regarding the contract: The model must make sure that this contract is signed by his/her mother agency, before his/her arrival to Colombia. The model will sign the contract upon arrival to Colombia. Regarding yourself: Make sure ***** Models has received all digital pictures of your previous work, Polaroid!s and videos, 2 weeks before arrival. Also make sure we have asked for all documents regarding the visa application. Please do not change your hair color or cut your hair. It!s very important to promote you prior to your arrival exactly as you appear on the pictures. If deemed strategically ***** MODELS Copyright 2025 convenient, once in Colombia, we can recommend a look that better suits you and the local market. It!s important to maintain the body size measurements you have sent the agency prior to your arrival as new contracts are agreed upon regarding such measurements. Models will need a Visa for to work in Colombia. The visa has a cost of USD 410 usd + 100 usd (issuing). The cost will be advanced by us and covered by the model only at the end of the period through her work income. Please note visas must be paid regardless of whether they are approved or denied. If the model does not generate enough work to pay for the visa, ***** Models will assume the cost. Please note models must have an international health insurance to be presented for the visa approval. If the model does not have an international heath insurance, we are glad to issue one by paying US$106 for 3 months. Important: the length of the visa is directly linked to length of the health insurance. If the insurance is for 3 months, the visa will be for 3 months. If the coverage is 2 years, the visa will be for 2 years. For models who come back frequently to work with *****, we recommended they get a 2 year coverage for the cheapest price in order to enjoy a long term visa and save associated costs. Accommodation The agency provides the Model with accommodation during his/her stay in Colombia. The model is responsible for keeping the model apartment tidy and to respect all apartment and societal rules. Our agency has multiple apartments to host models. Our apartments are luxury apartments. They require extremely good care. For security reasons, the model is required to inform the agency before she commits to any social plans with a third party. The model shall understand that for security reasons, company image or other professional reasons, the agency has the right to deny the model from taking any step or action that might be of risk to the model or ***** Models. Written (non Whatsapp Authorization) must be given by Mayerli Puentes. Models must be in the model apartment by 10 p.m. daily. Exceptions to this rule require written (non Whatsapp Authorization) by Mayerli Puentes. No guests are allowed in the model apartments. Also, for security reasons, models are only authorized to sleep in the apartments they are assigned. Taking a person to the ***** MODELS Copyright 2025 apartment who is not living there will result in a US$150 fee per guest for each and every time they bring a guest. Building security has been notified. We have cameras on the main door of the apartments. Please note: if the camera is covered or disconnected, a fee of US$300 will be charged in addition to the US$150. If no one volunteers culpability, the fee will be charged among all models at the exact time inside the apartment. More reason to be vigilant with your roommates and make sure this doesn’t happen. Second time offenders regarding visits or camera manipulation will be charged US$600 for either of the offenses. IMPORTANT it is strictly forbidden to smoke inside the apartment, the apartment terrace or inside any agency transportation vehicle. Smokers must go outside the building to smoke. Note: the model apartments in Bogotá are located meters away from the embassy of United States, making it the safest part of the city. In Medellin, we are in Poblado, also the most prestigious part of the city. Please view Exhibit 1 at the end of this document for pictures of some model apartments. We have created an inventory for all things in the apartment, if any of these are missing or broken, the model will be charged for it. If the model loses the apartment keys, he/she will be charged for the replacement security key. Lastly, models may be moved between properties a total of 1 time for logistic purposes. If a model wants to rent their own apartment, they must make the decision before arriving to the country. If they decide to stay with us, they must stay with us until the end of their stay. This means: If a model is residing in one of our apartments and decides to change housing in the middle of the contract, he / she will be charged rent by us regardless of where they sleep until the last day of this contract. Models who stay on their own will not receive pocket money. Also, we will have less control over ensuring their safety. Albeit each model is responsible for their own safety. Lastly, modes must stay the first month within our properties and may live elsewhere for the rest of their stay. However, it must be a decision taken prior to the models arrival to the country. Travel Models who would like to travel can take one working day off with authorization. ***** MODELS Copyright 2025 Models are not allowed to travel without authorization from Mayerli Puentes. If a model does not respect the terms of this contract, she will have to personally pay back her expenses (pocket $, rent, airplane ticket) independent of her work flow. Being on time and looking your absolute best is considered a standard rule. If a model leaves the country with booked jobs, he or she must refund ***** Models for 100% of the budget regarding all jobs he or she will miss. If the model does not have the economic means to respect this clause, her mother agency will be responsible for such payment. Equally if a job is cancelled due to the models attitude during a previous day shoot, he or she will be responsible for paying the full amount of the cancelled job. If a model would like to change her own plane ticket, she must have the authorization of her mother agency as well as ***** Models. Please note we as an agency normally advance an airplane ticket. Any changes or cancelations made by the airline must be dealt with exclusively by the passenger in question. We advance the ticket in good faith in order to help. However, once we issue the ticket, we do not include customer service. We are not a travel agency and every passenger is responsible for dealing with unprecedented issues. Also every passenger is responsible for understanding and following all rules and regulations regarding both airlines and migration. If a model does not work enough and we feel we can’t help them, we will consider sending them back to their country so they can try a different market. Article 3. Local transportation Models will be given the address for castings / jobs and are expected to arrive by their own means. To increase safety, Uber or Beat are the required form of transportation. Our head of security will pick up / drop off models from the airport only during their first arrival and final departure. We have a driver in Medellin for the model’s use upon request. If models choose to use the driver, we will debit the cost from the statement. A ride to the airport is 100,000 pesos. A ride within the city is 50,000 pesos. If a model wants to use their own means of transportation, they may do so. Otherwise, they can call our driver and expect to be charged for every trip at the end of the contract. ***** MODELS Copyright 2025 Upon arrival our Operations Manager will take the model to get a SIM card, Colombian number and 8 gigas of internet. Article 4. Castings The model usually has up to Five (5) outfits in one casting. In case the clients ask the model to try more than five outfits please inform the agency, always being polite with the client. The local market looks for models who are elegant and sophisticated. High heel shoes are required, as well as fashionable but conservative clothing. Booker!s will inform the model about the next day!s castings as soon as they have the full information. Article 5. Model measurements The dimensions must comply with the following range: Female Male Height: 1.70 cm – 1.83 cm Height: 1.80 cm – 1.92 cm Bust: 80 – 90 cm Waist: 73 – 82 cm Waist: 59 -63 cm Chest: 99 – 101 cm Hips: 88 – 91 cm If the model measurements shall at any time during the term of this agreement exceed the above maximum limits, the models will not be able to fit into the clothes designed for Colombian consumers. The size requirements are one of the most important factors in selecting the model. Model measurements must not exceed the maximum limit. If they do, the model shall have two (2) weeks to meet such requirements. At the end of the two weeks period, ***** Models may, in its absolute discretion terminate this agreement and the model shall return to her/his country immediately at her/his expense. She/he will also need to repay all costs incurred up until such period. ***** MODELS Copyright 2025 Article 6. Confirmed Jobs / Shootings Confirmed Jobs/Shootings start after hair and make-up are completed and the duration is 8 + 1 for lunch. If the client needs more time to finish the job, the models will politely ask them to contact the agency for over-time. Time required for video clips and tv commercials may be longer. In case the client or photographer wants to take inappropriate photographs, stop the job immediately and contact the agency. Pictures should should use the stipulated clothing. Any picture considered out of the norm, too sexy, or if asked to kiss another model on set, please stop and contact the agency immediately. Article 7. Health and responsibilities ***** Models S.A.S. its not responsible for any health problems the model may have, in case the model does not have active health insurance, we will be happy to get her a comprehensive health insurance at her expense. In case of any unfortunate accident, ***** Models will help the model to the best medical attention, albeit will not be responsible for payment. For convenience, the agency may choose to pay in advance and deduct the balance from the model!s final statement. If the agency decides to advance payment, the maximum amount will be US$400. If the model has an emergency (family, health, or other) and cannot work or needs to leave Colombia before the termination of this contract, her mother agency will be responsible for refunding all expenses incurred by the model. These include flight tickets, pocket money and rent and jobs that had already been booked. In such situation, any guarantee (referred to in article 8) will be immediately canceled. Article 8. Model Expenses/ General Conditions and Payment ***** MODELS Copyright 2025 If the model misses her flight to Colombia for any reason whatsoever, her mother agency will be responsible for refunding the ticket to ***** Models. If the model misses a national or international flight for a specific job, the model will refund ***** Models for the ticket as well 100% of the job in question. Accommodation in the model apartment is US$20 per day. Comp cards (US$30) Maid Service (US$5 per week) Pocket money is 200.000 Colombian pesos per week (circa US$50 per week). If the model holds a positive balance with the agency and wants additional pocket money, we will lend them more capital at a 5% interest. (interest applies only to the additional capital). Health Insurance in case the model does not have her own is US$106. This is a requirement in regards to obtaining a working visa. If a model has an international health insurance accepted by the Colombian Immigration department, the model will not have to deduct this sum. Payment Commission for the mother agency is equal to 10%. After deducting taxes, % will be split amongst all parties. Payment from ***** Models must be made via bank transfer a maximum of 45 working days after the model!s final departure. No exceptions to this rule, we don’t advance any bank transfers or cash payments. If the recipient bank account does not belong to the model, they must document and prove a strong connection with the account holder; such as a family member. If a model would like to be paid 48 hours after her final departure, we will deduct a 10% fee for immediate payment. This is subject to liquidity. We normally send both statement and payment quickly, however, we have 45 working days for both to send a model’s statement along with payment and the MA commission. The TRM exchange will be the average between the day the model arrives and the day they leave. Both TRM’s are added and divided by 2. Payment to Russia and Ukraine may take up to 3 months due to bank regulations. ***** MODELS Copyright 2025 For every job, the agency must immediately charge 15% in taxes & fees (TNF). This 15% will be immediately discounted from the final statement. This is not a personal fiscal tax and therefore cannot be replaced with your home country fiscal payments. Corporate tax and retentions account to circa 60% for a profitable business in Colombia. Therefore, it is impossible to eliminate this 15% for any reason whatsoever. The remaining balance will then be split in the corresponding percentages for ***** Models, the model and her agency. There will be no other retentions. Income tax will be paid solely by ***** Models. Commission for the model is 50% Commission for ***** Models is 40%. If the model has no mother agency, the 10% will be split between the model and ***** Models. If a model decides to extend their stay, the current statement will be closed. A new statement will begin regarding the new dates. If a job is completed, we as an agency guarantee the payment of this job, regardless of the clients compliance to paying us. Included Benefits Free of Charge 1) GYM: our models, male and female, will attain a free gym membership. We hold an alliance with Spinning Center gym. Most of our apartment buildings also have their own gym. 2) TEETH CLEANING: Models will get a professional teeth cleaning upon request in Bogotá. 3) SIM CARD: Upon arrival our Operations Manager will take the model to get a SIM card, local number and 8 gigas of internet. 4) HAIR SALON: a cut and treatment may be obtained with a top hairstylist in Bogotá and Medellín. Subject to availability and at the hairstylist discretion to approve case by case. 5) LANGUAGES: learn Italian, French, English or Spanish. Models will have access to 18 hours of language learning free of charge. Our agency will sponsor 6 hours ***** MODELS Copyright 2025 per language. Classes are virtual. Class credit is not transferable between models or between languages. 6) PAID TEST SHOOTING: We have 3 photographers we collaborate with. We guarantee al least one shooting with our inhouse photographer. Given the right geography, scheduling and other, it might be that a model ends up doing all 3 paid test courtesy of ***** models. 7) FINANCIAL PLANNING: may a model be interested in better understanding budgets and investments, we are happy to set up a session with our financial adviser. 8) AIRPORT PICKUP: our drivers will pick you up for free upon your arrival as well as the final exit from the country. 9) MONETARY BONUS: The model, male or female, with most bookings at the end of each month gets a bonus of 300,000 COP. Bonus will be added to the model’s final statement. 10) SPIRITUAL & LIFE COACH: we have a very high level physics and math teacher who is also a spiritual coach and medium. Upon request, our models may book a session. 11) Boxing Club: 200 meters from most of our apartments is a boxing and functional training gym. Being an ***** Model grants unlimited free access. Article 9. Terms of the Agreement This agreement is effective upon the signature of this contract. However, if the model!s performance (on any reasonable basis including but not limited to professionalism, punctuality, presentation or attitude) during the term of this agreement does not satisfy ***** Model!s expectations, the agency may, in its absolute discretion, terminate this agreement. If the agreement is terminated, the model will be paid her corresponding % from any job prior to the date of termination. In such case, no guarantees will be paid. If a model does not have any bookings within a 3 week period, we will consult with the board of directors the option of sending them back home. This is for the benefit of all. ***** MODELS Copyright 2025 In our case to control the financial loss. In the models case, to try a new market which may be more suitable for their profile. If a model has an option abroad with another agency that she would like to attend, she can request to leave for that job. Please consider: 1. No more than 2 requests are allowed. 2. If the job is in a nearby location, there is a higher probability of getting permission. 3. If a model has a confirmed job locally in such date, no permission will be granted. 4. If the model decides to go regardless without permission, he/she is liable for a US$2,000 penalty upon our agency’s discretion. 5. Models that stay only 1 month are normally not allowed to travel. The official model statement will be presented only once within 45 working days after the model’s final departure. If a model wants to know where she stands financially, she can keep track of her jobs and has all other information to create her own sample statement. All pertinent information is in this contract. We don’t usually give out guarantees as we already invest similar to 3,000 USD to bring host and finance the model during their stay. If this budget is lost it’s a loss for us. We already take most of the risk. In the particular case that we would offer a guarantee, it would have to be a separate document signed and approved by our agency director. There is no way a guarantee will be respected without a signed copy of this extra document called Guaranteed Contract, in addition to this contract. Only our director can approve guarantee by writing only since he will be the one to pay them. During the contract period agreed above and the next five years, the model should not work with any other person, agency, corporation, model scout, event planner, casting agent, director, producer, choreographer, and/or anybody offering modeling, acting and dancing (In Colombia). If the model is caught in any of these activities (paid or unpaid) during her stay in Colombia without ***** Model!s consent, the agreement may be terminated immediately. The model will be subject to a fine of US$3,000, she will lose all her earnings at the expense of ***** Models and at the discretion of our agency, she may be immediately sent home at her own expense. If the model cuts or manipulates ***** MODELS Copyright 2025 her hair in any way, without the agency!s approval, the same rules stated above will apply. Models shall abide by all applicable laws and regulations and always conduct themselves in a responsible and decent manner. Models are strictly prohibited from bringing and/or buying narcotics or any illegal substances. The model agrees ***** Models is representing them locally, however, the agency is not responsible for any illegal activities she may be involved with. This agreement shall be governed by and construed in all respects in accordance with the laws of Colombia and the parties hereby submit to the exclusive jurisdiction of the country. The promotion of models through our local channels is solely dependent on our best interest. Only pictures that we deem very high level will be posted. Any dispute will go through the courts of Colombia or the models country of citizenship. We are proud to say in our tenure as an agency, we have never had to charge any model or agency a penalty. Or we have chosen not to do it. We hope to keep it this way. IN WITNESS WHEREOF, the parties hereby agree by signing every page of this agreement as of the day written in the date above:
